Dr. Richard Daines, Former Health Commissioner, Dies at 60

Dr. Richard F. Daines, the former state health commissioner who presided over hospital downsizing, the fight against swine flu and an unsuccessful attempt to enact a soda tax, died Saturday at his family farm in Dutchess County.

The death was confirmed by Claudia Hutton, his former press secretary, who said that Dr. Daines, 60, was found by the state police in a barn on his property, where he had been taking down Christmas decorations. It appears that Dr. Daines, who had been in good health, had a heart attack, but the cause of death has not been confirmed, Ms. Hutton said.

Dr. Daines was appointed health commissioner by Gov. Eliot Spitzer and served from 2007 to 2010, stepping down when Andrew M. Cuomo became governor. He had recently accepted an appointment as a visiting scholar at the New York Academy of Medicine.

He graduated from Cornell Medical School in 1978 and worked for many years at St. Barnabas Hospital in the Bronx. He went to St. Luke’s-Roosevelt Hospital in Manhattan in 2000 as medical director, and became president and chief executive in 2002.

He is survived by his wife, Linda; his children, William, Katherine and Andrew; one grandson; his parents, Newell and Jean; and siblings.

During his tenure, he oversaw the carrying out of the recommendations of the Commission on Health Care Facilities in the 21st Century, commonly known as the Berger Commission, which ordered the consolidation and closing of hospitals and nursing homes.

He was instrumental in developing public health policy to deal with the 2009 outbreak of swine flu in New York, part of what was pronounced a worldwide pandemic.

He lobbied aggressively for the passage of a state tax on sugary sodas and other drinks, which was opposed by the soda industry and never won traction with state legislators. Last October, he teamed with New York City’s health commissioner, Dr. Thomas A. Farley, to ask the United States Department of Agriculture to bar New York City’s 1.7 million recipients of food stamps from using them to buy soda or other sugared drinks. That request is pending.

”We underprice this commodity that we overconsume — and I mean we, we all do it — we suffer the consequences, and then we try to buy our way back out of it, liposuction or something, bariatric surgery, some kind of pill for obesity,” Dr. Daines said, explaining his advocacy of a soda tax in an interview with The New York Times last year.

Down to his appearance, Dr. Daines fit the part of the sin-tax crusader. Standing 6-foot-1, he was lanky and folksy, a Spanish-speaking former Mormon missionary in Bolivia before he practiced medicine in the South Bronx.

An Antidote for the Corporate Poison Pill

In a major decision issued last week, William Chandler of Delaware’s Court of Chancery ruled that corporate boards may use a “poison pill”—a device designed to block shareholders from considering a takeover bid—for as long a period of time as the board deems warranted. Because Delaware law governs most U.S. publicly traded firms, the decision is important—and it represents a setback for investors and capital markets.

The ruling grew out of the epic battle between takeover target Airgas and bidder Air Products. Air Products made a takeover bid for Airgas in 2010, increased it several times, and kept it open until last week’s decision. Airgas’s directors argued that defeating the premium offer would prove, in the long run, to be in shareholders’ interests. As the Chancery Court stressed, however, the directors based their opinion solely on information publicly available to shareholders. Why should shareholders, who have powerful incentives to get it right, not be permitted to make their own choice between selling and staying independent?

Chancellor Chandler stated that he would have preferred to let shareholders make the choice at this stage, as they “know what they need to know . . . to make an informed decision.” But he felt that denying shareholders’ right to choose was required by previous Delaware cases, which recognized directors’ right to block offers out of concern that shareholders would accept them “in ignorance or a mistaken belief” concerning the value of remaining independent.

Yet the empirical evidence indicates that when directors use their power to block offers, it often proves detrimental to shareholder interests. A research project I am carrying out with colleagues John Coates and Guhan Subramanian has found that boards that defeated premium offers failed on average, even in the long run, to produce returns for their shareholders that made remaining independent worthwhile.

Moreover, the power of boards to block bids weakens the disciplinary force of the market for corporate control. A substantial body of empirical research indicates that boards’ increased insulation from such discipline is associated with lower firm value and worse corporate performance and decision-making.

Despite the Delaware court’s decision, investors still have recourse—because a poison pill is powerful only as long as the directors supporting it remain in place.

Airgas’s directors were able to use a poison pill for more than a year because Airgas’s board is “classified.” As such, only one-third of directors come up for election in each annual meeting, so replacing a board majority requires waiting through two annual meetings.

If, by contrast, a company’s shareholders could replace a majority of its board more quickly, the board’s power to block a takeover bid would be correspondingly weakened.

Support for changing corporate governance arrangements to allow for board declassification is expressed in the proxy voting guidelines of many investment managers, including American Funds, BlackRock, Fidelity and Vanguard. Indeed, shareholder proposals in favor of board declassification have received average support exceeding 65% of votes cast in each of the last five years. This makes sense given the evidence (documented in a 2005 article I co-authored with Alma Cohen, and confirmed by subsequent research) that board classification is associated with lower firm valuation.

In response, public companies have been agreeing to declassify, thus committing not to block an offer favored by shareholders for too long. The number of S&P 500 companies with classified boards declined to 164 in 2009, from 300 in 2000. Still, there’s a great deal of room for improvement: Among the 3,000 public companies with takeover defenses tracked by FactSet, about half still have classified boards.

While incumbents have for now won the right to use poison pills indefinitely, pressure by shareholders could substantially limit their toxicity. That would produce considerable benefits for investors and for our capital markets.

The Last Days for a Music Store Where Vinyl Has Respect

Joe Long has tried closing his legendary Brooklyn music shop, Birdel’s Records, before.

Two years ago, Mr. Long posted a going-out-of-business sign in the windows of his Bedford-Stuyvesant storefront, which opened in 1944. With the decline of the music industry and of his profits, and the fact that no family member wanted to take over, he’d had enough. Mr. Long, now 73, began working at Birdel’s in 1957 and had owned the shop since the late 1960s. He was ready to retire, he said.

But to hear him tell it, the neighborhood wouldn’t let him.

“They said, ‘You’re an icon; you’re an institution in the community for all these years,’ ” Mr. Long recalled.

Though Mr. Long relented and took the signs down, little changed. So earlier this month he posted them in his windows again. And this time, he said, it’s for real: Birdel’s, the neighborhood staple that is among the last in a dying breed of New York City vinyl shops, and where a young Notorious B.I.G., the famed Brooklyn rapper, honed his chops listening to James Brown and Temptations records, will close on Friday, Mr. Long said.

“I hung on and hung on and hung on,” he said. “I can’t go on.”

Mr. Long’s immediate plans include traveling far from New York, where he has lived since 1954: first to North Carolina, where he will visit family, then perhaps to Aruba or Ghana.

One recent day, as calypso music blasted from an old television near the cash register, customers dug through Mr. Long’s specialties — gospel and oldies — as well as some contemporary CDs, and friends and family members helped pack up and sort through the estimated 100,000 45s and 10,000 LPs at Birdel’s, a dusty stockpile Mr. Long said he would part with for $25,000 to $30,000.

As is, of course.

Jeffrey Joe, 41, was rummaging through record-filled cardboard boxes that Mr. Long’s cousin had retrieved from the shop’s storage areas. A collector and D.J., Mr. Joe said he had heard of Birdel’s only two months ago, but had spent many hours since hunting through piles of Mr. Long’s 45s. He estimated that he had spent about $600 on 1,000 records.

Among his finds: Lee Dorsey singles, rare funk records from 1974, jazz 45s that have disappeared from the flea markets.

“This is one of the last places in New York with an original stockpile of records from the ’50s, from the ’60s, from the ’70s,” said Mr. Joe, who has been collecting records for more than 20 years. “The coolest thing is that a lot of it — I’d say 80 percent of it — is stuff I’d never heard of before.”

For others, it was an emotional farewell.

“I shudder to think of the day when he is no longer here and I can’t get words of wisdom,” said Edmon Braithwaite, 52, who began shopping at Birdel’s in the early 1980s and said Mr. Long had become a mentor through a local business association. “It’s a huge loss to the community.”

Despite Mr. Long’s professed commitment to close his shop, some Birdel’s stalwarts refuse to believe him.

“When I saw that sign, I said, ‘He ain’t going nowhere,’” said Bernice Layne, 60, who has been shopping at Birdel’s since 1963. “God has a way of working out miracles.”

Mr. Long, who was standing nearby, replied, “Yes he does, but he ain’t going to work one for me.”

Vintage Jet Crashes in Hudson Valley

10:08 p.m. | Updated A Cold War-era plane with a dragon’s face painted on its nose fell out of the sky on Saturday afternoon and crashed into the icy Hudson River in upstate New York.

Crews were still searching for the pilot, the only passenger, on Saturday night, but hopes of finding him alive dimmed as the daylight did. As of 10 p.m., according Holly Baker, a spokeswoman for the Federal Aviation Administration, the plane was still partially submerged in the water, its nose believed to be stuck in the mud, near Kingston, N.Y., about a 100-mile drive north of New York City.

The plane, a restored BAC167 Strikemaster, took off from Johnstown, Pa., and was passing low over the Kingston-Ulster Airport when it fell into the Hudson River just after 1:30 on Saturday, Ms. Baker said. The National Transportation Safety Board will begin investigating the cause of the crash on Sunday.

Part of a series built by the British Aircraft Corporation in the late 1960s, the plane is owned by Dragon Aviation Inc. A spokesman for the state police in Milltown said the pilot had purchased the plane in Tennessee and was flying it back to New York.

Andy Anderson, Dragon Aviation’s president and a pilot of the plane in air shows, said the missing pilot was a “very good friend of ours.” Mr. Anderson would not identify the pilot or comment further, citing the search and the investigation into the crash.

Urban Forager | Growing a Salad in Winter

Instead of throwing down weedkiller, why not dig up dandelions for next winter’s food?

Last year, I decided that instead of suffering through another winter without local greens, I would try my hand at forcing roots — an age-old practice that yields springy vegetables even in the middle of winter. The foraging guru Euell Gibbons forced pokeweed and dandelion roots in his cellar, documenting it in his 1962 book, “Stalking the Wild Asparagus,” and I was curious to see if I could recreate it in an apartment in New York City.

In preparation for the long winter, I dug up dandelion roots last fall at the College of Staten Island, dreaming of the days when I’d be able to add young shoots to my pre-spring salads. (It’s best to dig roots before the first frost, and from places where no pesticides have been used.)

In the process of forcing, you have to first trick the bulb or root into thinking it’s winter (a refrigerator is often used), and later the roots are moved to a warm space, signaling spring. This allows plants to bloom in their off-season. Forcing roots is a lot like forcing flower bulbs — you can try it provided there’s space in the bottom of your refrigerator. Since I don’t have a cellar and space in the refrigerator is limited, I planted mine in a dirt-filled pot and kept it outside a friend’s doorstep on Staten Island for a month and a half. Edible shoots benefit from a few good hard frosts, and, of course, mine had several.

The year before, following Mr. Gibbon’s example, I had forced pokeweed roots (Phytolacca americana) — which, in maturity, is thoroughly toxic — growing in the darkened hallway of my apartment building. That tenacious plant’s young shoots were once popular in the South as poke salad or “salet.” The rather alien-looking sprouts were delicious, even twice-boiled (several changes of water are necessary to extract toxins). But I felt my mouth start to tingle as I ate them, so I put down my fork (and that project). (Many medical authorities consider all parts of Phytolacca americana poisonous, and I do not advise consuming it.)

A few weeks ago, I brought my potted dandelion roots home, setting them on the kitchen floor, where the warmth and a good watering would simulate “spring.” Thinking they might need some time to adjust, I decided against watering the pot right away, and promptly forgot about it as I engaged in a frenzy of cooking braises, resulting in a steamy kitchen. A week later, I noticed several toothy-looking, one-inch dandelion shoots, the color of young corn, sprouting out of the pot.

Dandelion (Taraxacum officinale), a k a lion’s tooth, blowball, faceclock, is one of our most ubiquitous and identifiable weedy plants. Native to Eurasia, it was first brought over by European colonists and is the bane of many American gardeners and homeowners. But William Cobbett, author of the 19th-century classic “The American Gardener,” considered its springtime shoots “one of the very best of greens.” He called it “a sort of wild Endive.” (When Mr. Cobbett arrived on Long Island in 1817, lacking a tended garden, he noticed the wild dandelions growing underfoot. “I have always, since that time, looked at this weed with a more friendly eye,” he wrote.)

Dandelions — high in vitamins A, C and K and rich in calcium, iron and manganese — have a long culinary history in Europe as a salad green, leaf vegetable, jam, wine and even as a coffeelike beverage. Medicinally, the plant has been used as a diuretic, liver and kidney support, wart remover and respiratory aid.

But this little pot of Taraxacum officinale is destined for our next salad, where each young shoot tastes like summer. After that, when they’ve matured, they’ll be transformed into a bitter-greens pie. Until then, I’m happy to watch the little basal rosettes, which I used to squash with my shoe as a child, growing under the cold glare of the kitchen window.
